This Purchase Order is issued by Stellar Frame Productions Pvt. This Purchase Order constitutes a binding agreement between Stellar Frame Productions Pvt. Ltd. (hereinafter "the Buyer") and the named Film Director (hereinafter "the Service Provider") for the creative and technical direction of the aforementioned feature film. All services shall be rendered primarily at the production facilities and shooting locations within Bangalore, India, unless otherwise specified in the production schedule.
The Film Director shall devote full professional attention to the project during the engagement period. The Film Director shall not undertake any concurrent directing, producing, or creative leadership role for any other production without prior written consent from the Buyer.
Payment shall be made in the following instalments: 25% advance upon signing of this Purchase Order; 40% upon completion of principal photography; 25% upon delivery of the final cut; and 10% upon completion of all post-production and marketing obligations. All payments shall be made via NEFT/RTGS to the bank account specified above.
The Film Director shall comply with all applicable laws of India, including but not limited to the Cinematographers Act, 1952, the Copyright Act, 1957, the GST Act, 2017, and the Income Tax Act, 1961. All intellectual property created during the engagement, including but not limited to the final film, storyboards, shot lists, and creative notes, shall vest exclusively with the Buyer.
The Film Director shall maintain professional liability insurance with a minimum coverage of ₹50,00,000 (Fifty Lakh Rupees) for the duration of the engagement, valid in Bangalore, India and all other shooting locations.
Any changes to the scope of work, shooting schedule, or creative direction beyond the parameters outlined in this Purchase Order shall require a written amendment signed by both parties. No verbal modifications shall be binding.
In the event of force majeure, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Bangalore, India, either party may suspend obligations with 72 hours' written notice. The engagement timeline shall be extended accordingly without penalty.
Disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, India, and the proceedings shall be conducted in English.
The Film Director shall be treated as an independent contractor and not as an employee of the Buyer. The Film Director shall be solely responsible for their own statutory deductions, including professional tax applicable in Karnataka, India.
This Purchase Order shall be governed by and construed in accordance with the laws of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction over any matters not covered by the arbitration clause.
