All payments under this Purchase Order shall be made in Indonesian Rupiah (IDR) via bank transfer to the supplier's designated account. The payment schedule for the Film Director engagement is structured as follows:

This Purchase Order constitutes a binding agreement between PT Nusantara Creative Productions, Tbk. and PT Sinema Visi Kreatif for the engagement of the specified Film Director for the production based in Indonesia Jakarta. Both parties acknowledge that all services described herein shall be performed exclusively within the jurisdiction of Indonesia Jakarta unless otherwise agreed in writing.
The Film Director shall adhere to all applicable Indonesian labor laws, production regulations, and local permits required for filming within the Indonesia Jakarta metropolitan area. The supplier is responsible for obtaining all necessary shooting permits from the Jakarta Provincial Government and relevant local authorities.
The Film Director shall maintain full creative authority over the production as outlined in the attached Creative Brief, subject to final approval by the Buyer's Executive Producer. Any material deviation from the approved script or visual style guide must be communicated in writing to the Buyer at least 48 hours before the affected shooting day in Indonesia Jakarta.
Confidentiality: All materials, scripts, storyboards, and production documents related to this Indonesia Jakarta-based production are classified as confidential. The Film Director and all associated personnel shall not disclose any production details to third parties without prior written consent from the Buyer.
Intellectual Property: Upon full payment of all amounts due under this Purchase Order, all rights to the final film, including but not limited to the directorial work, shall vest in PT Nusantara Creative Productions, Tbk. The Film Director retains the right to be credited as Director in all promotional and distribution materials.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Indonesia Jakarta, or public health emergencies, provided that the affected party notifies the other within 48 hours of the event.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Indonesian National Board of Arbitration (BANI) in Indonesia Jakarta.
This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Indonesia. The courts of Indonesia Jakarta shall have exclusive jurisdiction over any legal proceedings not subject to arbitration.
Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not alter the terms set forth in this document.

By signing below, both parties confirm their acceptance of all terms, conditions, and service descriptions outlined in this Purchase Order for the Film Director engagement in Indonesia Jakarta. This document is valid for a period of thirty (30) days from the date of issue, after which it shall be considered null and void unless renewed in writing.
