All payments under this Purchase Order shall be made in Iranian Rials (IRR) via bank transfer to the Film Director's registered account at Bank Melli, Tehran branch. The payment schedule is structured as follows:
- 30% advance payment (204,600,000 IRR) due within five (5) business days of mutual signature of this Purchase Order, prior to the commencement of pre-production activities in Tehran.
- 40% progress payment (272,800,000 IRR) due upon completion of principal photography, subject to the Film Director's written delivery confirmation and the production manager's sign-off at the Tehran set.
- 20% post-production payment (136,400,000 IRR) due upon delivery of the final locked cut and completion of the sound mix at the Tehran post-production facility.
- 10% final settlement (68,200,000 IRR) due within thirty (30) days following the Film Director's public premiere appearance at the Tehran International Film Festival or the designated alternative festival.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Islamic Republic of Iran and the applicable regulations of the Iranian Film Institute. Any disputes arising from this agreement shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran Arbitration Center.
- Intellectual Property: All creative decisions, directorial notes, shot lists, and editorial materials produced by the Film Director in the course of this engagement in Tehran shall remain the property of Cinema Persia Productions Co., Ltd. The Film Director retains moral rights and credit as "Directed by" in all film credits, trailers, and promotional materials.
- Compliance with Iranian Film Regulations: The Film Director acknowledges and agrees to comply with all content guidelines, censorship requirements, and production permits issued by the Iranian Film Institute and the Tehran municipal authorities. No scene shall be shot in restricted areas of Tehran without prior written authorization.
- Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of 500,000,000 IRR throughout the duration of this Purchase Order. Proof of insurance shall be provided to the production office in Tehran before the first day of principal photography.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding the screenplay, casting decisions, production budget, and any unreleased footage. This obligation extends to all personnel under the Film Director's direct supervision on the Tehran set.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated production halts in Tehran, natural disasters affecting the Alborz filming locations, or changes in Iranian film industry regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the termination date, and all completed materials shall be delivered to the production office in Tehran.
