3. Description of Services — Film Director EngagementThis Purchase Order is issued by Tigris Media Productions Ltd. to formally engage the services of a qualified Film Director and associated creative personnel for the production of a feature-length documentary titled "Voices of the Tigris: A Baghdad Chronicle". All services described herein shall be performed, executed, and delivered within the jurisdiction of Iraq Baghdad, specifically at the designated production studios and on-location sites throughout the city of Baghdad and its surrounding districts. The Film Director shall be responsible for the complete creative vision, on-set direction, actor and subject coordination, camera direction, and final editorial oversight of the project as outlined in the attached Statement of Work (SOW-IRQ-2025-009).
Important Note: All filming activities, post-production work, and creative meetings associated with this Purchase Order shall take place exclusively in Iraq Baghdad. The Film Director must hold a valid Iraqi work permit and comply with all regulations set forth by the Iraqi Ministry of Culture and Tourism regarding media production in Baghdad. 4. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Commercial Code and the Iraqi Media Production Regulations applicable to the city of Baghdad.
- Performance Location: All services rendered under this Purchase Order shall be performed in Iraq Baghdad. The Film Director and all associated crew members must be physically present in Baghdad for the duration of the engagement period.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Baghdad, and 30% upon final delivery of the completed film. All payments shall be made via bank transfer to the account specified in Section 2.
- Intellectual Property: All creative works, footage, scripts, and final deliverables produced by the Film Director under this Purchase Order shall become the exclusive property of Tigris Media Productions Ltd. upon full payment.
- Compliance with Iraqi Regulations: The Film Director shall ensure full compliance with all filming permits, cultural sensitivity guidelines, and security protocols mandated by the Iraqi Ministry of Culture, the Baghdad Municipal Authority, and the Iraqi National Security Council for media operations in Baghdad.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to security incidents in Iraq, government-imposed restrictions on filming in Baghdad, or natural disasters.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all production details, creative content, and business terms associated with this Purchase Order and the Film Director's work in Iraq Baghdad.
- Insurance: The Film Director and all crew members must carry valid professional liability insurance and personal accident coverage valid within the territory of Iraq for the entire duration of the project.
The final deliverable, consisting of the completed feature-length documentary (minimum 90 minutes), shall be delivered in 4K digital format (ProRes 422 HQ) to the Tigris Media Productions Ltd. post-production facility located in Al-Mansour District, Baghdad, Iraq. Acceptance of the final deliverable by the Film Director's client shall be confirmed in writing within ten (10) business days of delivery. Failure to provide written objection within this period shall constitute automatic acceptance of the work.
7. Authorization & SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Film Director for production activities in Iraq Baghdad.
