3.1 Scope of Work. The Film Director shall provide all creative direction services as outlined in Section 2 of this Purchase Order. The Film Director retains full artistic authority over creative decisions during the production period, subject to the final approval rights of Mediavision Productions Ltd. as the commissioning entity.

3.2 Location and Jurisdiction. All services shall be rendered primarily in Israel Tel Aviv. Any work performed outside the Tel Aviv metropolitan area must be pre-approved in writing by the project manager. This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.

3.3 Payment Schedule. Payment shall be made in three installments: (a) 30% upon execution of this Purchase Order; (b) 40% upon completion of principal photography; (c) 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the Film Director's designated Israeli bank account. Invoices must reference this Purchase Order number (PO-TLV-2025-0487).

3.4 Intellectual Property. Upon full payment, all rights to the final film, including the director's creative contributions, shall vest in Mediavision Productions Ltd. The Film Director shall retain the right to display the work in personal portfolios, festival submissions, and academic presentations, provided that Mediavision Productions Ltd. is credited as the producing entity.

3.5 Confidentiality. The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, financial data, and proprietary information encountered during the engagement in Israel Tel Aviv. This obligation survives termination of this Purchase Order for a period of five (5) years.

3.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the termination date, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.

3.7 Compliance. The Film Director warrants that all services shall comply with applicable Israeli labor laws, the Israeli Copyright Law (5765-2005), and all municipal regulations pertaining to filming permits in Israel Tel Aviv. The Film Director is responsible for obtaining any individual permits or clearances required for on-location shoots.
