This Purchase Order is issued by CinemArte S.r.l. to formally engage the services of Film Director Marco Bellini for the principal photography and post-production oversight of the feature-length film "Luce di Milano." All services described herein shall be performed within the city of Italy Milan and its immediate metropolitan area, in accordance with the creative brief, shooting schedule, and technical specifications agreed upon between the parties. The Film Director shall be responsible for the complete artistic and technical direction of the production, including but not limited to pre-production planning, on-set direction, actor coaching, shot composition, and final cut supervision.
The engagement of the Film Director under this Purchase Order is governed by the Italian Civil Code (Codice Civile, Libro V – Contratti) and the specific provisions of the Italian Film Industry Collective Agreement (CCNL Cinema). All deliverables and services shall conform to the professional standards expected of a Film Director operating within the Italy Milan film production ecosystem.

Payment for the services rendered under this Purchase Order shall be made via bank transfer to the Film Director's designated account in accordance with the following schedule:

All payments are subject to a 30-day net payment term from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code.
- Scope of Work: The Film Director shall perform all duties as outlined in the attached Creative Brief (Annex A) and the Master Shooting Schedule (Annex B). Any deviation from the agreed scope requires a written amendment to this Purchase Order signed by both parties.
- Location: All principal services shall be performed in Italy Milan. The Film Director acknowledges that the production is based in Italy Milan and that all on-set activities, meetings, and post-production sessions shall take place at the designated studios and locations within the city of Milan and its province.
- Intellectual Property: All creative work, directorial decisions, and artistic contributions made by the Film Director in the course of this engagement shall be considered work-for-hire under Italian law. CinemArte S.r.l. shall retain full ownership of the finished film and all associated intellectual property rights.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, casting decisions, and business information pertaining to the Italy Milan production. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Insurance and Liability: The Film Director shall maintain professional liability insurance with a minimum coverage of €1,000,000 for the duration of the engagement. CinemArte S.r.l. shall provide on-set accident insurance for all personnel working in Italy Milan.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Film Director shall be compensated for all services rendered up to the termination date plus a 15% completion bonus.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Milan region.
