The Film Director shall be responsible for the complete creative and technical direction of the project, including but not limited to pre-production planning, on-set direction, scene composition, actor coaching, and post-production oversight. All services rendered under this Purchase Order shall be performed within the metropolitan area of Japan Osaka, with primary filming locations situated in the Umeda, Namba, and Dotonbori districts. The Film Director is expected to possess a minimum of fifteen (15) years of professional experience in narrative filmmaking and must demonstrate a thorough understanding of the cultural, linguistic, and logistical environment specific to Japan Osaka.

1. Payment Schedule: Payment for this Purchase Order shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Japan Osaka, and 30% upon final delivery of the completed film. All payments are due within thirty (30) calendar days of invoice receipt.
2. Engagement Period: The Film Director's engagement under this Purchase Order shall commence on July 1, 2025, and conclude on September 30, 2025, with all principal activities conducted within the boundaries of Japan Osaka unless otherwise agreed in writing.
3. Intellectual Property: All creative works, scripts, storyboards, and visual materials produced by the Film Director during the term of this Purchase Order shall become the exclusive property of Osaka Cinematic Productions K.K. upon full payment. The Film Director retains the right to display the completed work in professional portfolios and festival submissions within Japan Osaka and internationally.
4. Compliance: The Film Director shall comply with all applicable Japanese labor laws, filming permits, and local regulations governing production activities in Japan Osaka. All location permits for filming in public areas of Japan Osaka shall be obtained and maintained by the Buyer at no additional cost to the Film Director.
5. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, scripts, cast information, and business strategies disclosed during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a termination fee equivalent to 15% of the remaining contract value.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting the Japan Osaka region.
