This Purchase Order is issued by Shin-Ei Creative Productions K.K. to formally engage the services of Film Director Hiroshi Yamamoto for the full pre-production, production, and post-production oversight of the feature film "Tokyo Meridian", a 120-minute narrative feature to be filmed primarily in Japan Tokyo. The Film Director shall be responsible for all creative and technical direction of the project, including but not limited to script interpretation, casting coordination, on-set direction, shot composition, pacing, and final editorial vision. All services rendered under this Purchase Order shall be performed within the metropolitan area of Japan Tokyo unless otherwise agreed in writing by both parties.

5. Terms and Conditions

Acceptance: This Purchase Order becomes binding upon written acceptance by the Film Director within ten (10) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under Japanese commercial law (Civil Code, Article 522).
Performance Location: All services described in this Purchase Order shall be performed in Japan Tokyo. The Film Director acknowledges that the primary production base is located at Shin-Ei Creative Studios, 3-14-1 Roppongi, Minato-ku, Tokyo, and that all on-set direction shall take place at approved locations within the Tokyo metropolitan prefecture unless a written amendment is executed.
Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Film Director.
Intellectual Property: All creative works, including but not limited to the final film, storyboards, shot compositions, and editorial decisions made by the Film Director under this Purchase Order, shall be the exclusive property of Shin-Ei Creative Productions K.K. The Film Director retains moral rights as author under Japanese Copyright Law (Act No. 48 of 1970).
Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, casting decisions, and financial information related to this Purchase Order. This obligation shall survive for a period of five (5) years following the final release of the film.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Japan Tokyo, or epidemics, provided that the affected party notifies the other within 48 hours.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the Tokyo District Court.
Compliance: The Film Director warrants that all services rendered under this Purchase Order shall comply with all applicable Japanese labor laws, film industry regulations, and local ordinances of Japan Tokyo, including but not limited to noise regulations, public filming permits, and safety standards.
Amendments: No modification of this Purchase Order shall be valid unless made in writing and signed by both the authorized representative of Shin-Ei Creative Productions K.K. and the Film Director.
