4.2. The Film Director shall comply with all applicable laws and regulations of the Republic of Kazakhstan, including but not limited to the Law of the Republic of Kazakhstan "On Cinema and Cinematography," the Labor Code of the Republic of Kazakhstan, and all municipal regulations governing filming activities in the city of Almaty.

4.3. All deliverables, including but not limited to final edited footage, raw camera media, production logs, and creative documentation, shall be the exclusive intellectual property of Almaty Cinematic Productions LLP upon full and final payment under this Purchase Order.

4.4. The Film Director shall maintain professional liability insurance with a minimum coverage of 50,000,000 KZT throughout the duration of the engagement. Proof of insurance shall be provided to the Buyer prior to the commencement of principal photography.

4.5. Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut and all associated media. All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the account specified in Section 1.

4.6. The Vendor shall provide a detailed weekly progress report to the Buyer's production manager. Any deviation from the approved production schedule exceeding three (3) business days shall require written justification and a revised timeline approved by the Buyer.

4.7. In the event of force majeure, including but not limited to severe weather conditions in the Almaty region, government-mandated shutdowns, or natural disasters, either party may suspend performance without penalty. The affected party shall notify the other in writing within forty-eight (48) hours of the occurrence.

4.8. Disputes arising from this Purchase Order shall be resolved through mediation in Almaty, Kazakhstan, in accordance with the rules of the Almaty International Arbitration Center. If mediation fails, disputes shall be submitted to the competent commercial court of Almaty city, Republic of Kazakhstan.

This Purchase Order is issued in accordance with the commercial practices of the Republic of Kazakhstan.
