Post-production shall be completed by 30 September 2025. All deliverables, including the final cut, master files, and promotional materials, must be submitted to Savanna Pictures Productions Ltd. at their Kenya Nairobi office no later than 5 October 2025.

• Advance Payment (30%): KES 1,659,264 payable within 7 working days of acceptance of this Purchase Order, via bank transfer to the account specified above.
• Mid-Production Payment (40%): KES 2,212,352 payable upon completion of principal photography and submission of dailies review, no later than 10 August 2025.
• Final Payment (30%): KES 1,659,264 payable upon acceptance of the final deliverables and sign-off by the Savanna Pictures executive producer, no later than 15 October 2025.
• All payments shall be made in Kenyan Shillings (KES) to the vendor's registered bank account in Kenya Nairobi. Late payments shall attract interest at 2% per month as per Kenyan commercial law.

• This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, Cap 15 of the Laws of Kenya.
• The Film Director warrants that all creative content, scripts, and visual materials produced under this Purchase Order shall be original and free from any intellectual property infringement. The Film Director shall indemnify Savanna Pictures Productions Ltd. against any third-party claims.
• The Film Director shall comply with all applicable Kenyan regulations, including but not limited to the Kenya Film Classification Board (KFCB) guidelines, the National Environment Management Authority (NEMA) permits for filming in protected areas, and the Kenya Revenue Authority (KRA) tax obligations.
• Savanna Pictures Productions Ltd. reserves the right to request up to three (3) rounds of revisions during post-production at no additional cost to the Film Director.
• Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Film Director shall be compensated for all work completed up to the date of termination, less any advance payments already received.
• The Film Director shall maintain professional liability insurance with a minimum cover of KES 10,000,000 throughout the duration of this Purchase Order.
• All production materials, raw footage, and final deliverables shall remain the exclusive property of Savanna Pictures Productions Ltd. upon full payment under this Purchase Order.
• The Film Director shall not subcontract any portion of the creative direction without prior written consent from Savanna Pictures Productions Ltd.

This Purchase Order becomes binding upon written acceptance by both parties. The Film Director's acceptance of this Purchase Order constitutes agreement to all terms, conditions, and deliverables specified herein. This document is valid for acceptance within 14 days of the date of issue.
