3.1 This Purchase Order constitutes a binding agreement between Al-Nakheel Media Productions LLC ("the Buyer") and the Film Director ("the Vendor") for the services described herein. All work shall be performed in accordance with the production schedule approved by the Buyer's Head of Production.

3.2 The Film Director shall maintain full creative authority over all artistic decisions on set, including but not limited to camera angles, actor performance direction, scene composition, and pacing, subject to the approved script and the Buyer's overall production budget constraints.

3.3 All filming locations within Kuwait, Kuwait City, and its surrounding governorates shall be coordinated through the Buyer's location manager. The Film Director shall comply with all local filming permits issued by the Kuwait Ministry of Information and the Kuwait Film Commission.

3.4 The Film Director shall provide a minimum of 14 days' written notice for any schedule change or absence. Failure to appear on a scheduled shooting day without approved leave shall result in a deduction of 150% of the daily rate for that day.

3.5 All intellectual property, including the final film, all dailies, behind-the-scenes footage, and any derivative works created during the engagement, shall be the sole property of Al-Nakheel Media Productions LLC. The Film Director retains the right to be credited as "Directed by" in all promotional materials and festival submissions.

3.6 The Film Director shall carry professional indemnity insurance with a minimum coverage of KWD 250,000 for the duration of the engagement, valid in the State of Kuwait.

3.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Kuwait City in accordance with the Kuwait Arbitration Law No. 13 of 2014. The governing law of this Purchase Order is the law of the State of Kuwait.

Payment shall be made in three installments via bank transfer to the account specified above:

• Installment 1 (30%): KWD 24,097.50 – due upon signature of this Purchase Order and commencement of pre-production.
• Installment 2 (40%): KWD 32,130.00 – due upon completion of principal photography (Day 35).
• Installment 3 (30%): KWD 24,097.50 – due upon delivery of the final cut and completion of all post-production supervision.

Payment terms are Net 30 days from the date of each milestone invoice. Late payments shall accrue interest at 1.5% per month as permitted under Kuwaiti commercial law.
