This Purchase Order is issued by Meridian Pictures Sdn. 3. SCOPE OF WORK & OBLIGATIONS OF THE FILM DIRECTOR

The Film Director engaged under this Purchase Order shall fulfil the following obligations in Malaysia Kuala Lumpur:

1. Provide full creative vision and artistic direction for the feature film, ensuring all visual and narrative elements align with the approved treatment and screenplay.
2. Conduct daily rehearsals with the principal cast and coordinate with the cinematographer, production designer, and sound department on all shooting days in Malaysia Kuala Lumpur.
3. Ensure compliance with all Malaysian broadcasting and film regulations as set out by the Malaysian Film Censorship Board (LPF) and the Communications and Multimedia Commission (MCMC).
4. Deliver a final cut of the film no later than 12 weeks following the last day of principal photography, subject to the Buyer's editorial notes.
5. Attend a minimum of four (4) public promotional events in Malaysia Kuala Lumpur during the film's theatrical release window.
6. Maintain full confidentiality regarding script contents, casting decisions, and production schedules in accordance with the Non-Disclosure Agreement (NDA) referenced in Annex A of this Purchase Order.

4. PAYMENT SCHEDULE

All payments shall be made via bank transfer to the account designated by the Film Director as stated in Annex B. The Buyer shall issue a tax invoice concurrent with each payment. This Purchase Order is governed by the laws of Malaysia, and any disputes shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC).

5. CANCELLATION & TERMINATION

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value. All intellectual property rights in the film shall remain the sole property of Meridian Pictures Sdn. Bhd. upon full payment.
