3. PAYMENT TERMS AND SCHEDULE

All payments under this Purchase Order shall be made in Myanmar Kyat (MMK) via bank transfer to the account designated by the Film Director. The payment schedule is structured as follows:

4. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between Golden Pagoda Productions Co., Ltd. and the named Film Director upon signature by both parties. All terms are governed by the laws of the Republic of the Union of Myanmar, with jurisdiction in the courts of Myanmar Yangon.
  2. The Film Director warrants that all creative work, scripts, storyboards, and final deliverables produced under this Purchase Order shall be original and free from any intellectual property claims by third parties. The Film Director shall indemnify the Buyer against any infringement claims arising from the work.
  3. All production activities, including but not limited to filming, interviews, and public events, shall be conducted in compliance with the Myanmar Film Censorship Board regulations and all applicable local ordinances in Myanmar Yangon. The Film Director is responsible for obtaining all necessary filming permits from the Yangon Regional Government and relevant authorities.
  4. The Film Director shall maintain professional liability insurance with a minimum coverage of MMK 500,000,000 for the duration of the engagement. Proof of insurance shall be provided prior to the commencement of principal photography.
  5. Any changes to the scope of work, schedule, or deliverables must be documented in a written amendment to this Purchase Order, signed by both parties. Verbal modifications shall not be binding.
  6. In the event of force majeure, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Myanmar Yangon, either party may suspend obligations with written notice. The schedule shall be extended by a period equivalent to the duration of the force majeure event.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding the content of the documentary, production budgets, and business terms outlined in this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
  8. Dispute resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Myanmar Yangon. If mediation fails within thirty (30) days, the matter shall be referred to arbitration under the Myanmar Arbitration Law, with the seat of arbitration in Myanmar Yangon.
  9. The Film Director shall not assign or subcontract any portion of the services described in this Purchase Order without the prior written consent of Golden Pagoda Productions Co., Ltd.
  10. This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to accept within this period shall render this document null and void.
5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document is executed in two (2) original copies, one for each party, both bearing equal legal validity.
