1. Purpose of This Purchase OrderThis Purchase Order is issued by Capital Cinemas Productions (Pvt.) Ltd., headquartered in Pakistan Islamabad, to formally engage the services of a qualified Film Director for the production of a feature-length cinematic project titled "Echoes of the Capital." This document serves as the binding agreement between the Buyer and the Supplier for the procurement of professional Film Director services, including creative direction, on-set supervision, post-production oversight, and all associated deliverables. All terms, conditions, and obligations outlined herein shall be governed by the laws of the Islamic Republic of Pakistan, with jurisdiction vested in the courts of Pakistan Islamabad.
2. Scope of Services – Film Director EngagementThe Film Director engaged under this Purchase Order shall be responsible for the complete creative and technical direction of the aforementioned feature film. The scope of work includes, but is not limited to: pre-production planning and script interpretation; casting coordination and actor direction; on-set management of camera, lighting, and sound crews; shot composition and visual storytelling; coordination with the production design team; supervision of all principal photography sessions; and final cut approval during post-production. The Film Director shall report directly to the Chief Production Officer of Capital Cinemas Productions and shall conduct all on-location work within the metropolitan area of Pakistan Islamabad and its surrounding districts, including Rawalpindi, Murree, and the Margalla Hills region.

4.1 Payment shall be made in three (3) installments: 30% advance upon acceptance of this Purchase Order, 50% upon completion of principal photography, and 20% upon final delivery of the completed film cut. All payments shall be processed via bank transfer to the Supplier's designated account in Pakistan Islamabad.
4.2 The Film Director shall submit detailed invoices to the Buyer's finance department no later than five (5) business days following the completion of each milestone. Invoices must reference this Purchase Order number (PAK-ISM-2025-FD-0047) for proper accounting reconciliation.
4.3 Late payments beyond the stipulated thirty (30) day credit period shall attract a penalty of 1.5% per month, calculated in accordance with the State Bank of Pakistan guidelines applicable in Pakistan Islamabad.
5. Delivery Schedule and Milestones5.1 Pre-production phase: 15 June 2025 to 30 June 2025 (Pakistan Islamabad).
5.2 Principal photography: 01 July 2025 to 25 July 2025 (Pakistan Islamabad and surrounding locations).
5.3 Post-production and final delivery: 26 July 2025 to 15 August 2025.
5.4 The Film Director shall ensure all deliverables are submitted to the Buyer's production office in Blue Area, Pakistan Islamabad, in both digital and physical formats as specified in the attached Technical Annexure.
6. Terms, Conditions, and Legal Provisions6.1 This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Film Director and supersedes all prior negotiations, representations, or agreements, whether written or oral.
6.2 The Film Director shall maintain full professional liability insurance with a minimum coverage of PKR 50,000,000, valid throughout the duration of the engagement in Pakistan Islamabad.
6.3 All intellectual property rights in the final film, including but not limited to the director's creative contributions, shall vest exclusively with Capital Cinemas Productions (Pvt.) Ltd. upon full and final payment.
6.4 In the event of any dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Pakistan Islamabad. Should mediation fail, the matter shall be referred to the competent courts of Pakistan Islamabad under the jurisdiction of the Islamabad High Court.
6.5 Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Film Director shall be compensated for all work completed up to the date of termination, less any applicable deductions.
6.6 The Supplier warrants that the Film Director engaged under this order holds a valid professional license issued by the Pakistan Film Censor Board and possesses a minimum of ten (10) years of experience in feature film direction.
7. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Film Director in Pakistan Islamabad. This document is executed in two (2) original copies, one for each party.
