1. Scope of Engagement: This Purchase Order constitutes a binding agreement between Cinema Productions (Pvt.) Ltd., Karachi, and the named Film Director for the creative and technical direction of the feature film "Karachi Nights." All services shall be rendered in and around Pakistan Karachi unless otherwise specified in the line items above.

2. Payment Schedule: Thirty percent (30%) of the grand total shall be disbursed as an advance within 5 business days of mutual signature of this Purchase Order. Forty percent (40%) shall be paid upon completion of principal photography. The remaining thirty percent (30%) shall be released within 15 business days of the Film Director's final approval of the locked picture and delivery of all post-production deliverables.

3. Intellectual Property: All creative work, shot compositions, editorial decisions, and directorial notes produced under this Purchase Order shall be the exclusive property of Cinema Productions (Pvt.) Ltd. The Film Director retains the right to be credited as "Directed by" in all promotional and theatrical materials released in Pakistan Karachi and internationally.

4. Cancellation and Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of cancellation by the Buyer after principal photography has commenced, the Film Director shall be compensated for all days worked plus a 10% penalty on the remaining contract value.

5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-imposed curfews in Karachi, monsoon flooding in Sindh, or national emergencies declared by the Government of Pakistan.

6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Karachi. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration Act, 1940, with the seat of arbitration in Pakistan Karachi.

7. Compliance: The Film Director agrees to comply with all applicable regulations of the National Film & Video Censorship Board (Pakistan) and the Sindh Film Censorship Authority. All content shall be submitted for certification prior to theatrical release in Karachi and the wider country.
