- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Film Director. The Film Director shall sign and return a copy of this document within five (5) business days of receipt to confirm engagement for the production based in Peru Lima.
- Payment Schedule: Payment shall be made in three installments: (a) 30% upon execution of this Purchase Order; (b) 50% upon completion of principal photography; (c) 20% upon delivery of the final locked master. All payments shall be made via bank transfer to the account designated by the Film Director, denominated in Peruvian Soles (PEN), in accordance with Peruvian tax regulations.
- Intellectual Property: All creative materials, scripts, storyboards, footage, and final deliverables produced under this Purchase Order shall be the exclusive property of Andes Vision Productions S.A.C. The Film Director retains the right to display the completed work in personal portfolios and at film festivals, subject to prior written approval from the Buyer.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, cast information, and unreleased footage. This obligation extends for a period of three (3) years following the final delivery of the master, and is governed by the Peruvian Civil Code and applicable data protection laws in force in Peru Lima.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all services rendered up to the date of termination, plus a 10% completion bonus on the remaining contract value.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Peru Lima, or civil unrest. The Film Director shall notify the Buyer in writing within 48 hours of any such event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising from this agreement shall be resolved through arbitration in Peru Lima, in accordance with the rules of the Peruvian Arbitration Center (CENACE).
- Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of PEN 500,000 for the duration of the engagement. Proof of insurance shall be provided to the Buyer prior to the commencement of principal photography in Peru Lima.
- Compliance: The Film Director warrants that all services rendered under this Purchase Order shall comply with applicable Peruvian labor, tax, and immigration laws. The Film Director is solely responsible for the payment of personal income tax (Impuesto a la Renta) on fees received under this agreement.
