Payment is due within the stated periods. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Philippine Civil Code and applicable Bureau of Internal Revenue (BIR) regulations.

1. This Purchase Order is governed by the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be resolved through arbitration in Philippines Manila under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
2. The Film Director warrants that all creative work delivered shall be original and free from intellectual property infringement. The Film Director shall indemnify Cinematic Productions Philippines, Inc. against any third-party claims related to the direction and creative output.
3. The Film Director shall comply with all applicable labor laws, safety regulations, and local ordinances of the City of Manila and the National Capital Region (NCR) during all phases of production in Philippines Manila.
4. Location permits, shooting clearances, and any required government authorizations (including but not limited to permits from the Manila City Government, MMDA, and the Philippine Film Commission) shall be coordinated by the production company, with the Film Director providing necessary creative input and approval.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus any non-cancellable expenses incurred.
6. All deliverables, including but not limited to the final film, rough cuts, director's commentary, and promotional materials, shall become the exclusive property of Cinematic Productions Philippines, Inc. upon full payment.
7. The Film Director shall maintain professional liability insurance with a minimum coverage of PHP 5,000,000.00 for the duration of the engagement.
8. This Purchase Order is valid for thirty (30) days from the date of issue. Acceptance must be confirmed in writing by the Film Director or authorized representative within the validity period.
