- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Film Director, Ms. Sarah Elena Whitfield, and countersignature by the authorized representative of Al Rayyan Media & Entertainment Group W.L.L. in Qatar Doha.
- Delivery & Schedule: All deliverables, including the final cut of the feature film, shall be submitted to the Qatar Doha production office no later than 30 November 2025. The Film Director shall adhere to the production schedule outlined in Appendix A attached to this Purchase Order.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Qatar Doha, and 30% upon final delivery and acceptance of the completed film. All payments shall be processed via bank transfer to the account specified by the Film Director's production company.
- Intellectual Property: All creative works, scripts, storyboards, and final film assets produced under this Purchase Order shall be the exclusive property of Al Rayyan Media & Entertainment Group W.L.L. The Film Director retains the right to display the work in personal portfolios and at the Doha International Film Festival.
- Compliance with Qatar Law: The Film Director and all associated crew members shall comply with all applicable laws and regulations of the State of Qatar, including but not limited to the Qatar Media Law, the Qatar Film Commission guidelines, and all municipal permits required for filming in Qatar Doha public locations.
- Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of QAR 2,000,000 for the duration of the engagement in Qatar Doha. A certificate of insurance shall be provided prior to the commencement of pre-production.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be delivered to the buyer in Qatar Doha.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre (QIAC). The governing law shall be the laws of the State of Qatar.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated filming restrictions in Qatar Doha, severe weather conditions, or public health emergencies.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the creative content, financial terms, and production details of this Purchase Order. This obligation shall survive for a period of three (3) years following the completion of the film.
