The Film Director engaged under this Purchase Order shall be responsible for the following duties and deliverables, all to be carried out in Russia Moscow:

All monetary amounts stated in this Purchase Order are denominated in Russian Rubles (RUB) and are inclusive of all applicable taxes, including Value Added Tax (VAT) at the prevailing rate in the Russian Federation. No additional charges shall be incurred without prior written amendment to this Purchase Order signed by both parties.

Payment for the services rendered by the Film Director under this Purchase Order shall be made via bank transfer to the account designated by the Seller. The payment schedule is structured as follows:

• 30% Advance Payment (RUB 2,130,000): Due within ten (10) business days of the execution of this Purchase Order, prior to the commencement of pre-production activities in Russia Moscow.
• 40% Progress Payment (RUB 2,840,000): Due upon completion of principal photography, subject to the Buyer's written acceptance of the daily dailies and shot logs maintained on set in Moscow.
• 20% Post-Production Payment (RUB 1,420,000): Due upon delivery of the final locked cut and the Director's certification of the completed film, to be delivered at the Buyer's offices in Russia Moscow.
• 10% Final Retainer (RUB 710,000): Due within thirty (30) days following the official premiere screening at the Moscow International Film Festival in Russia Moscow, contingent upon the satisfactory completion of all promotional obligations.

Failure to remit payment within the stipulated timeframe shall result in a late payment penalty of 0.1% per calendar day on the outstanding balance, in accordance with Article 317.1 of the Civil Code of the Russian Federation.

Compliance with Local Law: The Film Director shall comply with all federal, regional, and municipal laws and regulations applicable to film production in Russia Moscow, including but not limited to the Federal Law No. 272-FZ "On Cinematography in the Russian Federation" and the Moscow City Charter governing public assembly and filming permits.
2. Intellectual Property: All creative works, including but not limited to the final film, rough cuts, storyboards, and directorial notes produced under this Purchase Order, shall be the exclusive property of the Buyer. The Film Director retains the right to display the completed work in personal portfolios and at accredited film festivals, subject to the Buyer's prior written consent.
3. Insurance and Liability: The Seller shall maintain professional liability insurance with a minimum coverage of RUB 10,000,000 for the entire duration of the engagement in Russia Moscow. The Buyer shall maintain production insurance covering all cast, crew, and equipment on set.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding the script, production schedules, cast identities, and all proprietary information exchanged during the term of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. 6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Moscow, Russia Moscow, in accordance with its rules of procedure.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Russia Moscow.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Film Director for the production of a feature film in Russia Moscow.
