This Purchase Order is issued by Al-Riyadh Media Productions Ltd. to formally engage the services of a qualified Film Director for the production of a feature-length cinematic project to be filmed primarily in and around Saudi Arabia Riyadh. The Film Director shall be responsible for the complete creative and technical direction of the production, including but not limited to pre-production planning, on-set direction, actor coaching, shot composition, and post-production oversight. All services shall be rendered in compliance with the regulations of the General Commission for Audiovisual Media (GCAM) of Saudi Arabia and the applicable laws of the Kingdom.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Film Director upon signature by both parties. All terms herein shall be governed by the laws of the Kingdom of Saudi Arabia, specifically the Commercial Transactions Law and the Civil Transactions Law.
2. The Film Director shall commence all services no later than 1 July 2025 and shall complete all principal photography obligations within the timeline specified in this Purchase Order. Any delays must be communicated in writing to the Buyer at least 48 hours in advance.
3. All creative deliverables, including but not limited to shot lists, storyboards, final cuts, and directorial notes, shall be the exclusive intellectual property of Al-Riyadh Media Productions Ltd. upon full payment. The Film Director retains the right to credit as "Directed by" in all promotional materials.
4. The Film Director shall comply with all GCAM regulations, Saudi Arabian cultural guidelines, and local filming permits required for production activities in Riyadh, Saudi Arabia. All necessary permits and clearances shall be obtained prior to the commencement of on-set work.
5. Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery and approval of the final cut. Payments shall be made via bank transfer to the account specified by the Film Director.
6. The Film Director shall maintain professional liability insurance with a minimum coverage of SAR 5,000,000 for the duration of the engagement. Proof of insurance shall be provided to the Buyer prior to the start of production.
7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Film Director shall deliver all work-in-progress materials to the Buyer.
8. All disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The language of arbitration shall be Arabic, with English translations provided for reference.
9. The Film Director shall not subcontract any portion of the directorial services without prior written consent from the Buyer. Any approved subcontractors shall be bound by the same terms and conditions as set forth in this Purchase Order.
10. This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to sign and return within this period shall render this Purchase Order null and void.
