3. The Film Director retains the right to display the completed work in festival submissions and professional portfolios, subject to a 6-month embargo from the official public release date.
4. Compliance with Senegalese Law: The Film Director shall comply with all applicable laws and regulations of the Republic of Senegal, including but not limited to the Senegalese Audiovisual Code, labor laws governing crew employment in Dakar, and all municipal filming permits required by the Mairie de Dakar and the Agence Nationale du Cinéma du Sénégal (ANCS).
5. Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of 50,000,000 XOF, valid throughout the production period in Senegal Dakar. Proof of insurance shall be submitted prior to the commencement of principal photography.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination by Teranga Vision Productions SARL for convenience, the Film Director shall be compensated for all services rendered up to the termination date plus a 10% completion bonus on the remaining scope. In the event of termination for material breach by the Film Director, no further payment shall be due beyond the value of accepted deliverables.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Senegal Dakar. Should mediation fail within 30 days, the dispute shall be referred to the competent commercial courts of Dakar, Senegal, and the laws of the Republic of Senegal shall govern this agreement.
8. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, financial terms of this Purchase Order, and any proprietary information of Teranga Vision Productions SARL for a period of 5 years following the completion of the project.
