1. This Purchase Order is governed by the laws of the Kingdom of Spain, specifically the Spanish Civil Code (Código Civil) and the applicable provisions of the Generalitat de Catalunya regarding audiovisual production.
2. The Film Director warrants that all creative content produced under this Purchase Order shall be original and free from any intellectual property infringement. The Film Director shall assign all rights to the finished work to Mediterranean Pictures S.L. upon full payment.
3. The Film Director shall maintain professional liability insurance (seguro de responsabilidad civil) with a minimum coverage of EUR 1,000,000 for the duration of the engagement in Spain Barcelona.
4. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a 10% cancellation fee on the remaining balance.
