Description of Services & Items OrderedThis Purchase Order is issued by Nile Cinematic Productions Ltd. to formally engage the services of the named Film Director for the production of the feature-length documentary "Voices of the Nile: A Khartoum Story". Terms and Conditions- Scope of Work: The Film Director shall exercise full creative authority over the project as outlined in the attached Creative Brief. All direction, camera work supervision, and editorial decisions shall be made by the Film Director in consultation with the Purchasing Party's production team in Sudan Khartoum.
- Payment Schedule: Payment shall be made in three installments: 30% (SDG 735,000) upon acceptance of this Purchase Order; 40% (SDG 980,000) upon completion of principal photography; and 30% (SDG 735,000) upon final delivery of the completed film. All payments shall be made via bank transfer to the account specified by the Film Director.
- Timeline: The Film Director shall commence pre-production activities no later than 01 August 2025 and shall deliver the final film no later than 28 February 2026. Any delays attributable to the Film Director shall incur a penalty of 1% of the total Purchase Order value per day of delay, capped at 10%.
- Intellectual Property: Upon full payment, all rights to the finished film, including but not limited to distribution, exhibition, and streaming rights, shall vest in Nile Cinematic Productions Ltd. The Film Director retains the right to display the work in personal portfolios and festival submissions with prior written consent.
- Local Compliance: All filming activities conducted in Sudan Khartoum shall comply with the regulations set forth by the Sudanese Film Commission and the Ministry of Culture. The Film Director is responsible for obtaining all necessary location permits, crew work visas (if applicable), and insurance coverage for all personnel.
- Cancellation: Either party may cancel this Purchase Order with 30 days' written notice. In the event of cancellation by the Purchasing Party after pre-production has commenced, the Film Director shall be compensated for all work completed to date at the rates specified herein.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum in accordance with the Sudanese Arbitration Act.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Sudan Khartoum.

The Film Director confirms availability to commence work as scheduled and agrees to deliver all services to the professional standard expected of a lead Film Director in the Sudanese and regional film industry.
