- This Purchase Order is governed by the Swiss Code of Obligations (OR) and applicable federal and cantonal regulations of Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of the canton of Zurich, Switzerland.
- The Film Director shall perform all duties in accordance with the creative brief attached as Annex A to this Purchase Order. Material deviations from the approved storyboard or shot list require prior written consent from the Head of Production, Alpine Cinematic Productions AG, Switzerland Zurich.
- Payment shall be made in Swiss Francs (CHF) via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the Swiss National Bank reference rate plus two percentage points, in accordance with Article 104 of the Swiss Code of Obligations.
- The Film Director warrants that all creative materials, including but not limited to shot compositions, directorial notes, and performance guidance, shall be original works free from third-party intellectual property claims. The Film Director shall indemnify Alpine Cinematic Productions AG against any infringement claims arising from the services rendered in Switzerland Zurich.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the script, production schedule, cast, and all creative materials associated with the "Zurich Horizon" project. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Switzerland Zurich, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the effective date of termination, plus a reasonable wind-down fee not to exceed CHF 10,000.
- All work performed under this Purchase Order shall comply with Swiss labour law, including the Federal Act on Foreign Nationals and Integration (FNI) and applicable collective labour agreements in force in Switzerland Zurich. The Film Director shall ensure that all crew members engaged under their direction hold valid work permits where required.
- This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Film Director for the "Zurich Horizon" production and supersedes all prior negotiations, representations, and agreements, whether written or oral.
- Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal modifications shall have no legal effect under Swiss law.
