All payments under this Purchase Order shall be made in United States Dollars (USD) via wire transfer to the account designated by the Film Director. The payment schedule is as follows: (a) a non-refundable deposit of twenty-five percent (25%) of the total Purchase Order value, amounting to $189,837.50, due within ten (10) business days of mutual execution of this Purchase Order; (b) a second installment of thirty-five percent (35%), amounting to $265,772.50, due upon the Film Director's confirmed arrival in Thailand Bangkok and commencement of principal photography; (c) a third installment of twenty-five percent (25%), amounting to $189,837.50, due upon completion of the final shooting day in Thailand Bangkok; and (d) the remaining fifteen percent (15%), amounting to $113,902.50, due within fifteen (15) business days following the Film Director's written approval of the final cut. Late payments shall accrue interest at a rate of 1.5% per month on the outstanding balance.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, with particular reference to the Thai Civil and Commercial Code and the Film Business Act B.E. 2551 (2008). Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok under the rules of the Thai Arbitration Institute.
- Work Authorization: The Buyer shall be solely responsible for obtaining all necessary work permits, visas, and immigration clearances required for the Film Director to legally perform services within Thailand Bangkok. The Film Director agrees to provide all supporting documentation within five (5) business days of request.
- Intellectual Property: All creative materials, storyboards, shot lists, director's notes, and final film deliverables produced under this Purchase Order shall be the exclusive property of Siam Horizon Pictures Co., Ltd. The Film Director retains the right to display the completed film in professional portfolios and festival submissions, subject to prior written approval from the Buyer.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, script contents, casting decisions, and financial terms of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed travel restrictions affecting Thailand Bangkok, pandemics, or acts of war. Affected parties must provide written notice within forty-eight (48) hours of the occurrence.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all services rendered to date plus a cancellation fee equal to ten percent (10%) of the remaining Purchase Order balance.
- Compliance: The Film Director shall comply with all applicable Thai labor laws, health and safety regulations on set, and the specific production protocols established by Siam Horizon Pictures Co., Ltd. for operations in Thailand Bangkok.
- Entertainment Law: The Film Director's engagement is further governed by the Standard Terms of the Motion Picture Association of Thailand (MPAT) as amended, which are incorporated herein by reference.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes a binding agreement for the engagement of the Film Director for the "Golden Meridian" production in Thailand Bangkok.
