4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services described herein shall be rendered by a qualified Film Director holding a valid Turkish Ministry of Culture and Tourism production license.
4.2 The Film Director shall maintain a minimum of 12 years of professional directing experience, with verifiable credits in both documentary and commercial film production. A portfolio and reference list must be submitted to the Buyer no later than five (5) business days following acceptance of this Purchase Order.
4.3 All production activities, including but not limited to location shoots, studio sessions, and post-production reviews, shall take place exclusively within the administrative boundaries of Turkey Ankara. Any travel outside this region requires prior written approval from the Buyer and shall be billed as a separate line item.
4.4 Payment shall be structured as follows: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Turkey Ankara, and 30% upon final delivery of all edited materials. Payments shall be made via bank transfer to the account designated by the Seller.
4.5 The Film Director shall comply with all applicable Turkish labor laws, film industry regulations, and municipal permits required for filming in Turkey Ankara. Any fines or penalties arising from non-compliance shall be the sole responsibility of the Seller.
4.6 Intellectual property rights for all footage, scripts, and final deliverables produced under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Film Director retains the right to include the project in a professional portfolio with prior written consent.
4.7 Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting Turkey Ankara, shall suspend obligations under this Purchase Order for the duration of the event, with a maximum extension of thirty (30) calendar days.
5. Delivery and AcceptanceAll deliverables under this Purchase Order shall be submitted to the Buyer's Turkey Ankara office in digital format (ProRes 4K for feature, H.264 1080p for commercials) no later than 30 November 2025. The Buyer shall have ten (10) business days to review and issue a written acceptance or a detailed list of required revisions. Failure to respond within this period shall constitute deemed acceptance of the Film Director's final deliverables.
