This Purchase Order is issued by Meridian Pictures International Ltd. to formally engage the services of a certified Film Director for the principal photography and post-production oversight of the feature-length cinematic project titled "Bosphorus Requiem". All production activities, rehearsals, on-set direction, and creative supervision shall be conducted primarily in Turkey Istanbul, utilizing the city's diverse filming locations including but not limited to the historic Sultanahmet district, the modern financial corridors of Maslak, the coastal stretches along the Bosphorus Strait, and the industrial heritage sites of Zeytinburnu.

- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon execution by both authorized representatives. All terms herein govern the engagement of the Film Director for the duration of the production.
- The Film Director shall maintain full creative authority over all artistic decisions on set, subject to the budgetary constraints outlined in the production schedule. The Film Director shall not be required to deviate from the approved script without written consent from the Buyer's executive producer.
- All filming locations within Turkey Istanbul shall be secured by the Buyer's production office. The Film Director shall provide location recommendations no fewer than fourteen (14) calendar days prior to the scheduled shoot date. Permits required by the Istanbul Metropolitan Municipality or the Ministry of Culture and Tourism of the Republic of Turkey shall be the responsibility of the Buyer.
- The Film Director shall comply with all applicable labor laws of the Republic of Turkey, including but not limited to the Turkish Labor Law No. 4857, and shall ensure that all crew members engaged under their direct supervision in Turkey Istanbul are provided with appropriate working conditions, rest periods, and safety equipment.
- Intellectual property rights in the final film, including all footage, audio, and creative materials produced under this Purchase Order, shall vest exclusively in the Buyer. The Film Director retains the right to display the work in personal portfolios and industry festivals, subject to a thirty (30) day embargo following the film's official premiere.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Film Director for all services rendered up to the date of termination, plus a cancellation fee equal to fifteen percent (15%) of the remaining contract value.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Turkey Istanbul in accordance with the rules of the Istanbul Arbitration Centre (ISTAC). The governing law shall be the laws of the Republic of Turkey.
- The Film Director shall carry professional liability insurance with a minimum coverage of USD 2,000,000 for the entire duration of the engagement in Turkey Istanbul. Certificates of insurance shall be provided to the Buyer prior to the commencement of principal photography.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall hold no legal force.
