2. Commencement Date: The Film Director shall commence pre-production duties on 1 August 2025. Principal photography is scheduled to begin on 15 September 2025 in Abu Dhabi, United Arab Emirates.
3. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be made via bank transfer to the account designated by the Film Director within thirty (30) calendar days of invoice receipt.
4. Intellectual Property: All creative work, shot compositions, directorial interpretations, and final footage produced under this Purchase Order shall remain the exclusive property of Emirates Vision Productions LLC. The Film Director retains the right to display the completed work in professional portfolios and industry festivals, subject to prior written approval from the Buyer.
5. Compliance: The Film Director shall comply with all applicable United Arab Emirates labor laws, Abu Dhabi municipal filming permits, and the regulations of the Abu Dhabi Media Office. All filming locations within Abu Dhabi shall be secured through the Buyer's production office.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding the script, production schedule, cast, and all proprietary materials associated with this Purchase Order. This obligation survives the termination of this agreement for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Abu Dhabi, United Arab Emirates.
9. Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of AED 2,000,000 throughout the duration of the engagement in Abu Dhabi.
