This Purchase Order is issued by Northwest Cinematic Productions Ltd. to formally engage the services of Film Director Mr. Jonathan A. Whitfield for the principal direction, creative oversight, and on-set leadership of the feature-length production titled "Northern Lights". All services shall be rendered within the United Kingdom Manchester metropolitan area and its surrounding filming locations, including but not limited to the city centre, the Peak District periphery, and the Salford Quays studio complex. The Film Director shall be responsible for the complete artistic vision, actor direction, camera coordination, and final creative approval of all footage captured under this engagement.

- This Purchase Order constitutes a binding agreement between Northwest Cinematic Productions Ltd. and the appointed Film Director upon countersignature by both parties. All terms are governed by the laws of England and Wales.
- The Film Director shall commence duties no later than 1 September 2025 and shall complete all principal photography obligations by 31 October 2025, with post-production duties concluding by 15 December 2025, all within the United Kingdom Manchester production footprint.
- Payment shall be made in three instalments: 30% upon execution of this Purchase Order, 50% upon completion of principal photography, and 20% upon delivery of the final cut. All payments shall be made via BACS transfer to the account specified by the Film Director.
- The Film Director shall maintain full creative authority over all artistic decisions on set, subject to the approved budget parameters and the production schedule agreed upon in the attached Schedule A.
- All intellectual property, including but not limited to the final film, rough cuts, storyboards, and creative notes produced under this engagement, shall vest in Northwest Cinematic Productions Ltd. upon full payment of this Purchase Order.
- The Film Director shall comply with all Health and Safety Executive (HSE) regulations applicable to film production in the United Kingdom Manchester area, including but not limited to working at height, electrical safety, and crowd management protocols.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach. In such an event, the Film Director shall be compensated for all services rendered up to the date of termination.
- All disputes arising from this Purchase Order shall be resolved by arbitration in Manchester, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).
- The Film Director shall not subcontract any portion of the principal direction without prior written consent from the production company. Any approved sub-contracted services shall remain subject to the terms of this Purchase Order.
- This Purchase Order is valid for acceptance within thirty (30) calendar days of the date of issue. Failure to countersign within this period shall render this document null and void.
All services under this Purchase Order shall be performed at the primary production base located at Media City Salford Quays, Manchester, and at such additional filming locations within the United Kingdom Manchester region as may be specified in the weekly production schedule. The Film Director shall be required to be present on set for a minimum of fourteen (14) hours per shooting day, with reasonable breaks in accordance with the Working Time Regulations 1998 as amended.
