- Scope of Work: This Purchase Order authorizes the engagement of the named Film Director for the specific services enumerated above. The Film Director shall exercise full creative authority over the visual and narrative direction of the production while remaining in compliance with the approved budget and schedule established by Meridian Pictures Production Group, LLC.
- Place of Performance: All services under this Purchase Order shall be performed primarily in United States Chicago, Illinois. The Film Director acknowledges that the production is registered with the City of Chicago Film Office and all applicable local filming permits, noise ordinances, and traffic control orders shall be obtained and maintained in accordance with United States Chicago municipal regulations.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final locked cut. All payments shall be made via ACH transfer to the account designated by the Film Director. Invoices are due Net 30 days from the date of receipt.
- Intellectual Property: All creative work product, including but not limited to shot compositions, directorial notes, and editorial decisions produced by the Film Director under this Purchase Order, shall be considered work made for hire and the exclusive property of Meridian Pictures Production Group, LLC, subject to the Film Director's right of attribution as "Directed by" in all promotional materials.
- Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this Purchase Order. A certificate of insurance naming Meridian Pictures as an additional insured shall be provided prior to the start date.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination by Meridian Pictures for convenience, the Film Director shall be compensated for all services rendered through the termination date plus a 10% completion bonus on the remaining contracted value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States Chicago. Any disputes arising hereunder shall be resolved through binding arbitration in United States Chicago pursuant to the rules of the American Arbitration Association.
- Compliance: The Film Director warrants that all services will be performed in compliance with all applicable federal, state, and local laws, including but not limited to the Illinois Film Production Tax Credit program requirements and United States Chicago Department of Business Affairs and Consumer Protection regulations.
