- Scope of Engagement: This Purchase Order authorizes the engagement of the named Film Director, Mr. Alejandro M. Reyes, to serve as the principal creative authority for all phases of production of the feature film "Bayou Crossing." The Film Director shall exercise full creative control over cinematography, actor performance, pacing, and visual narrative as outlined in the attached Statement of Work (SOW-2025-0487-A).
- Performance Location: All services under this Purchase Order shall be performed within the city of Houston, Texas, United States, and its immediate metropolitan area. The Film Director shall be responsible for coordinating with local Houston production offices, the Houston Film Office, and all municipal permitting authorities as required for filming in the United States.
- Payment Terms: Payment shall be made in three installments: (a) 30% upon execution of this Purchase Order; (b) 40% upon completion of principal photography; and (c) 30% upon delivery of the final cut and all ancillary deliverables. All payments shall be made via wire transfer to the vendor account on file. Payment is due net thirty (30) days from the date of each applicable invoice.
- Intellectual Property: All creative work product, including but not limited to shot compositions, directorial notes, and editorial decisions produced by the Film Director under this Purchase Order, shall be the sole property of Lone Star Visual Productions, LLC upon full payment. The Film Director retains the right to display the final film in professional festivals and portfolios within the United States.
- Insurance and Liability: The Film Director and Reyes Creative Direction Group, Inc. shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, valid throughout the duration of this Purchase Order. All insurance shall name Lone Star Visual Productions, LLC as an additional insured party.
- Compliance: The Film Director shall comply with all applicable federal, state (Texas), and local (City of Houston) laws and regulations governing film production in the United States, including but not limited to OSHA safety standards, Texas Labor Code provisions, and Houston municipal noise and traffic ordinances.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience by the Buyer, the Film Director shall be compensated for all services rendered through the effective date of termination, plus a 10% completion premium on the remaining contract value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to severe weather events common to the Houston, United States region (hurricanes, flooding), acts of God, government mandates, or pandemics.
