- Scope of Engagement: This Purchase Order authorizes the engagement of the named Film Director for all creative direction responsibilities associated with the feature film "Sunset Corridor." The Film Director shall exercise full creative authority over all visual, narrative, and performance elements of the production while operating in compliance with the production budget and schedule established by Pacific Crest Productions, LLC.
- Location of Work: All services under this Purchase Order shall be performed primarily in United States Los Angeles, California, and its immediate surrounding areas. Any travel beyond a 50-mile radius of downtown Los Angeles for location shoots shall be compensated at the rates specified in the attached Schedule B (Travel & Per Diem Addendum).
- Payment Terms: Payment shall be made in four (4) equal installments of $122,291.81 (USD), due net 30 days from the completion of each production phase: (a) Pre-Production, (b) Principal Photography, (c) Post-Production, and (d) Marketing & Festival Completion. All payments shall be made via wire transfer to the account designated by the Film Director's representative.
- Intellectual Property: All creative work product, including but not limited to shot compositions, directorial notes, rehearsal recordings, and final cut approvals, shall be the sole property of Pacific Crest Productions, LLC. The Film Director retains the right to display the completed film in personal portfolios and festival submissions, subject to prior written approval from the Buyer.
- Compliance & Licensing: The Film Director shall maintain all necessary professional licenses, SAG-AFTRA compliance certifications, and California state work permits required to operate legally within United States Los Angeles. The Film Director is responsible for ensuring all crew members under their direct supervision hold valid California work authorization.
- Insurance: The Film Director shall carry professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming Pacific Crest Productions, LLC as an additional insured party. Certificates of insurance must be provided prior to the commencement of any on-set work in the United States Los Angeles area.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination during Principal Photography, the Film Director shall be compensated for all days worked plus a termination fee equal to two (2) weeks of the daily rate specified in Line Item 2.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or labor strikes affecting the United States Los Angeles film production industry.

NOTE: This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. This document constitutes a binding agreement between Pacific Crest Productions, LLC and the named Film Director upon execution by both parties. All services are to be rendered in the United States Los Angeles, California, jurisdiction.
