1. This Purchase Order constitutes a binding agreement between Meridian Productions LLC (hereinafter "Buyer") and Creative Visionary Films, Inc. (hereinafter "Vendor") for the engagement of a Film Director and associated creative services. All services shall be performed in and around United States Miami, Florida, in accordance with the production schedule attached hereto as Exhibit A.
2. Payment Terms: Net 30 days from the date of invoice receipt. The Buyer shall issue payment in three installments: 40% upon execution of this Purchase Order, 40% upon completion of principal photography, and 20% upon delivery of the final locked picture. All payments shall be made via wire transfer to the Vendor's designated account in United States Miami.
3. The Film Director shall maintain full creative authority over all artistic decisions during the production period. However, the Film Director agrees to consult with the Buyer's executive producers on matters of budget, scheduling, and contractual obligations to talent. The Film Director shall be present on set for a minimum of 10 hours per production day, Monday through Saturday, during the 12-week principal photography period in United States Miami.
4. All intellectual property, including but not limited to storyboards, shot lists, creative notes, and the final film, shall be the sole property of Meridian Productions LLC. The Film Director and Vendor retain no rights to the finished work beyond a standard credit in the film's opening or closing titles.
5. Cancellation: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Vendor shall be compensated for all services rendered up to the date of termination, plus a 10% administrative fee on the remaining contract value.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising hereunder shall be resolved through binding arbitration in United States Miami, Florida, in accordance with the rules of the American Arbitration Association.
7. The Vendor warrants that the Film Director engaged under this Purchase Order holds all necessary credentials, professional memberships, and permits required to operate as a Film Director in the State of Florida and the United States Miami metropolitan area. The Vendor shall indemnify and hold harmless the Buyer from any claims arising from the Film Director's negligence or breach of contract.
NOTE: This Purchase Order is subject to the approval of the United States Miami Film Office and the City of Miami-Dade Department of Cultural Affairs for all exterior filming permits. The Film Director's schedule is contingent upon the issuance of no fewer than 14 municipal filming permits across the United States Miami area.
