Purchase Order Description

This Purchase Order is issued by Meridian Pictures Production Group, LLC (hereinafter referred to as the "Buyer") to engage the services of Jonathan R. Whitfield, Film Director (hereinafter referred to as the "Supplier" or "Film Director") for the creative direction, pre-production planning, on-set direction, and post-production oversight of the feature-length motion picture titled "Manhattan Reckoning". This Purchase Order governs all professional services to be rendered by the Film Director within the jurisdiction of United States New York City, including but not limited to the boroughs of Manhattan, Brooklyn, Queens, and the Bronx, as well as any satellite locations within a fifty-mile radius of New York City as approved in writing by the Buyer.

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal codes applicable to United States New York City. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York City.
  2. Scope of Work: The Film Director shall provide all creative and technical direction services as outlined in the line items above. The Film Director is responsible for maintaining all necessary professional credentials, including but not limited to a valid New York State contractor license and membership in good standing with the Directors Guild of America (DGA).
  3. Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be made via wire transfer to the account designated by the Film Director. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State law.
  4. Intellectual Property: All creative work product, including but not limited to directorial interpretations, shot compositions, and editorial decisions, shall be considered work made for hire under 17 U.S.C. § 101. The Buyer shall retain all rights, title, and interest in the finished motion picture. The Film Director retains the right to display the work in personal portfolios and industry festivals subject to the Buyer's prior written approval.
  5. Compliance with New York City Regulations: The Film Director and all associated crew members shall comply with all applicable United States New York City filming permits, noise ordinances, traffic management requirements, and the New York City Film Office regulations. All location shooting within New York City boroughs requires prior written permits obtained by the Buyer at the Buyer's expense.
  6. Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, as well as workers' compensation insurance compliant with New York State requirements. Certificates of insurance shall be provided to the Buyer prior to the commencement of services.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Film Director shall be compensated for all services rendered through the date of termination plus a termination fee equal to 15% of the remaining contract value.
  8. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, casting decisions, and business strategies disclosed during the term of this Purchase Order. This obligation shall survive termination for a period of five (5) years.
  9. Independent Contractor Status: The Film Director is engaged as an independent contractor and not as an employee of the Buyer. The Film Director is solely responsible for all federal, state, and local tax obligations, including New York City resident income tax and self-employment tax.
  10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to acts of God, natural disasters affecting New York City, government-mandated shutdowns, or pandemics, provided that the affected party gives prompt written notice.
Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Film Director for the production described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
