1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the municipal regulations of the City and County of San Francisco. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

2. Scope of Work: The Film Director shall perform all duties as outlined in the attached Statement of Work. The Film Director is engaged as an independent contractor and not as an employee of Golden Gate Productions, LLC. The Film Director shall be responsible for all federal, state, and local tax obligations arising from compensation under this Purchase Order.

3. Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut and written acceptance by the Producer. All payments shall be made via wire transfer to the account designated by the Film Director.

4. San Francisco Compliance: The Film Director acknowledges that all filming activities within the City and County of San Francisco, United States, are subject to the San Francisco Film Commission's regulations, including but not limited to location permits, noise ordinances, traffic control requirements, and the City's minimum wage and prevailing wage laws applicable to all crew members on set.

5. Intellectual Property: All creative work, direction, editorial decisions, and related materials produced by the Film Director under this Purchase Order shall be considered "work made for hire" under 17 U.S.C. § 101, and all rights, title, and interest therein shall vest exclusively in Golden Gate Productions, LLC.

6. Insurance: The Film Director shall maintain, at their own expense, a minimum of $2,000,000 in general liability insurance and $1,000,000 in professional liability (errors and omissions) insurance, naming Golden Gate Productions, LLC as an additional insured. Certificates of insurance must be provided prior to the commencement of any services.

7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination for convenience, the Film Director shall be compensated for all services rendered up to the date of termination, plus reasonable demobilization costs not to exceed $5,000.00.

8. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, storyboards, and proprietary information of Golden Gate Productions, LLC, both during and for a period of five (5) years following the completion of this Purchase Order.
