All services described in this Purchase Order shall be performed in accordance with the applicable laws of the Republic of Uzbekistan, including but not limited to the Law of the Republic of Uzbekistan on Cinematography and the regulations of the State Committee for Cinema of Uzbekistan.

All services under this Purchase Order shall be executed in Tashkent, Uzbekistan, with the following milestone schedule:

Payment for the services outlined in this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the vendor's designated account in Tashkent, Uzbekistan. The payment schedule is as follows:

• 30% Advance Payment (USD 50,635.20) due within 10 business days of the signing of this Purchase Order, prior to the commencement of pre-production.
• 40% Progress Payment (USD 67,513.60) due upon completion of principal photography and submission of the rough cut to the Buyer's review.
• 30% Final Payment (USD 50,635.20) due within 15 business days of final acceptance of the completed film by the Buyer.

All payments are subject to the presentation of valid invoices and, where applicable, supporting documentation in accordance with the tax regulations of the Republic of Uzbekistan. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through the Tashkent Arbitration Court, located in Tashkent, Uzbekistan.
2. Intellectual Property: Upon full payment, all rights to the final film, including the creative work of the Film Director, shall vest in Silk Road Cinema Productions LLC. The Film Director retains moral rights and the right to be credited as director in all promotional materials.
3. Confidentiality: Both parties agree to maintain strict confidentiality regarding the script, production materials, and business terms contained in this Purchase Order. This obligation survives for a period of five (5) years following the completion of the project.
4. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies in Uzbekistan.
5. Compliance: The Film Director and all crew members engaged under this Purchase Order must comply with all local regulations in Tashkent, Uzbekistan, including filming permits issued by the State Committee for Cinema, local municipal authorities, and any applicable labor laws.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
7. Warranty: The Film Director warrants that all services shall be performed in a professional and workmanlike manner, consistent with industry standards for feature film production in Uzbekistan and internationally.

This Purchase Order becomes effective upon signature by both parties. By signing below, the Buyer confirms the authorization of this Purchase Order for Film Director services in Tashkent, Uzbekistan, and the Vendor confirms acceptance of all terms, conditions, and the scope of work described herein.

This Purchase Order (SRCP-2025-0047) is issued in Tashkent, Uzbekistan, and constitutes a binding commercial agreement between the parties named herein. This document is valid only when signed and stamped by both parties. All communications regarding this Purchase Order shall be directed to the procurement department of Silk Road Cinema Productions LLC, 14 Amir Temur Avenue, Tashkent, 100084, Uzbekistan. The Film Director's engagement under this Purchase Order is subject to the production schedule and creative brief attached as Appendix A (not included in this document).
