Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Film Director. The vendor must return a signed copy to Caracas Film Productions, C.A. within five (5) business days of issuance.
Payment Schedule: Payment shall be made in three (3) installments: 30% upon contract signing, 40% upon completion of principal photography, and 30% upon final delivery of the completed film. All payments shall be processed in US Dollars via bank transfer to the account designated by the Film Director, in compliance with the Central Bank of Venezuela (BCV) foreign exchange regulations.
Work Location: All services under this Purchase Order shall be performed in Venezuela Caracas and its surrounding metropolitan areas. The Film Director acknowledges familiarity with local filming permits, municipal regulations of the Caracas City Council (Alcaldía de Caracas), and the requirements of the Venezuelan Film Commission.
Intellectual Property: All creative works, storyboards, shot compositions, and directorial materials produced under this Purchase Order shall be the exclusive property of Caracas Film Productions, C.A. The Film Director retains moral rights to the work as a credited director.
Confidentiality: The Film Director agrees to maintain strict confidentiality regarding the script, production details, cast information, and any proprietary materials of the project. This obligation survives the termination of this Purchase Order for a period of three (3) years.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest affecting the Venezuela Caracas region. Affected parties must notify the other within 48 hours.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination.
Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Venezuelan Chamber of Commerce.
Compliance: The Film Director warrants that all services will be performed in compliance with Venezuelan labor laws, tax obligations, and the regulations of the Venezuelan Film Commission. The vendor is responsible for all personal income tax filings in Venezuela.
