- Scope of Engagement: This Purchase Order constitutes a binding agreement between Pacific Meridian Productions Co., Ltd. and Mr. Tran Van Minh in his capacity as Film Director. The Film Director agrees to deliver all services described herein with professional diligence, adhering to the creative brief and production schedule established for this documentary filmed primarily in Ho Chi Minh City, Vietnam.
- Payment Schedule: Payment shall be made via bank transfer to the account specified by the Film Director. The first installment of 40% (298,400,000 VND) is due within 5 business days of mutual signature of this Purchase Order. The second installment of 35% (261,100,000 VND) is due upon completion of principal photography. The final installment of 25% (186,500,000 VND) is due within 10 business days of the Film Director's written approval of the final cut.
- Working Location: All services under this Purchase Order shall be performed in and around Ho Chi Minh City, Vietnam. The Film Director acknowledges that he holds a valid work permit issued by the Department of Labor, Invalids and Social Affairs of Ho Chi Minh City, and that all local labor regulations applicable in Vietnam are being observed.
- Intellectual Property: All creative materials, including but not limited to scripts, storyboards, shot compositions, editorial decisions, and directorial commentary produced by the Film Director under this Purchase Order, shall become the exclusive property of Pacific Meridian Productions Co., Ltd. upon full payment. The Film Director retains the right to display the completed work in his professional portfolio and to credit himself as Director in all promotional materials.
- Compliance with Local Law: The Film Director shall comply with all applicable laws and regulations of the Socialist Republic of Vietnam, including but not limited to the Law on Cinema (2022), tax obligations under Vietnamese personal income tax law, and any filming permit requirements issued by the Ho Chi Minh City People's Committee. The Film Director is responsible for his own personal income tax filings in Vietnam.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination by the issuing company without cause, the Film Director shall be compensated for all services rendered up to the termination date plus a 10% completion bonus on the remaining contract value. In the event of termination due to the Film Director's material breach, no further payment shall be due beyond services already rendered.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Ho Chi Minh City, pandemics, or changes in Vietnamese filming regulations. Affected parties must notify the other within 48 hours of the occurrence.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, Vietnam. The language of arbitration shall be English.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, financial terms of this Purchase Order, and any proprietary information of Pacific Meridian Productions Co., Ltd. This obligation survives the termination of this agreement for a period of three (3) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any reference to "Ho Chi Minh City" in this document refers to the municipality of Ho Chi Minh City, the largest city in Vietnam and the primary production base for this engagement.
