This Purchase Order is issued by Meridian Capital Advisory S.A. to formally request and authorize the procurement of specialized Financial Analyst professional services to be rendered in Argentina Buenos Aires. The engagement encompasses the full spectrum of financial analysis, portfolio evaluation, risk modeling, and strategic advisory functions required by the Buyer's institutional clients operating within the Argentine capital markets and the broader Latin American financial ecosystem. The selected Financial Analyst must hold a minimum of eight (8) years of demonstrated experience in quantitative finance, corporate valuation, and macroeconomic forecasting, with specific expertise in Argentine regulatory frameworks governed by the Comisión Nacional de Valores (CNV) and the Banco Central de la República Argentina (BCRA).

5. Terms and Conditions

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil and Commercial Code of the Argentine Nation (Ley 26.994) and all applicable financial regulations issued by the Comisión Nacional de Valores (CNV) and the Banco Central de la República Argentina (BCRA). Any disputes arising from this Purchase Order shall be resolved by arbitration seated in Buenos Aires, Argentina, under the rules of the Argentine Chamber of Commerce.
2. Service Delivery: All Financial Analyst services shall be performed primarily at the Buyer's premises located in Buenos Aires, Argentina, or at such other location within the Buenos Aires metropolitan area as mutually agreed in writing. Remote work arrangements may be permitted for up to two (2) days per week, subject to the Buyer's information security protocols.
3. Payment Schedule: Invoices shall be submitted on the last business day of each calendar month. Payment shall be made via electronic transfer (SPEI) to the Vendor's designated account in Argentina within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the BCRA reference rate plus two percentage points.
4. Confidentiality & Data Protection: The Financial Analyst and all personnel engaged under this Purchase Order shall comply with Argentina's Personal Data Protection Law (Ley 25.326) and the Buyer's internal data governance policies. All client data, portfolio information, and proprietary models shall be treated as strictly confidential and shall not be disclosed to any third party without prior written authorization.
5. Performance Standards: The Vendor guarantees that the Financial Analyst team shall meet the Key Performance Indicators (KPIs) outlined in Annex A of this Purchase Order, including but not limited to: 99% report accuracy, 48-hour turnaround for ad-hoc analysis requests, and full compliance with CNV reporting deadlines.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency controls imposed by the BCRA, or systemic financial market disruptions affecting the Buenos Aires financial center.
8. Intellectual Property: All analytical models, reports, and deliverables produced by the Financial Analyst team specifically for the Buyer under this Purchase Order shall be the exclusive property of Meridian Capital Advisory S.A. upon full payment.

6. Acceptance & Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Financial Analyst professional services in Argentina Buenos Aires and supersedes all prior negotiations, representations, or agreements between the parties regarding the subject matter herein.
