All services contemplated under this Purchase Order shall be performed in accordance with the professional standards established by the Argentine Chamber of Certified Public Accountants (CPCECBA) and the regulatory framework governing financial advisory services in the province of Córdoba, Argentina.

1. Place of Performance: All services under this Purchase Order shall be rendered primarily at the Buyer's offices located in the city of Córdoba, Province of Córdoba, Argentina. The Financial Analyst shall have access to all relevant financial systems, databases, and documentation housed at the Argentina Córdoba premises during regular business hours (Monday through Friday, 08:00 to 18:00 local time).
2. Payment Terms: Payment shall be made via electronic bank transfer (transferencia bancaria) to the Seller's designated account in Argentine Pesos (ARS) within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued in compliance with the Argentine Federal Administration of Public Revenue (AFIP) regulations. The Buyer reserves the right to withhold payment pending satisfactory completion of deliverables as specified in this Purchase Order.
3. Qualification Requirements: The Financial Analyst assigned to this engagement must hold a minimum of a Bachelor's degree in Accounting, Finance, or Economics from a recognized Argentine university, possess a minimum of five (5) years of progressive experience in corporate financial analysis, and be a registered member in good standing with the professional college of accountants of the Province of Córdoba (CPCECBA). The Seller shall provide a certified copy of the Financial Analyst's credentials prior to the commencement of services.
4. Confidentiality and Data Protection: The Financial Analyst and the Seller shall be bound by a strict confidentiality agreement in accordance with Argentine Law No. 25,326 on Personal Data Protection and the commercial confidentiality provisions of the Argentine Civil and Commercial Code. All financial data, proprietary models, and strategic information accessed during the performance of this Purchase Order shall remain the exclusive property of the Buyer.
5. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall be obligated to pay for all services rendered up to the effective date of termination, as documented by the Financial Analyst's time records and completed deliverables.
6. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with specific application of the commercial regulations of the Province of Córdoba. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of the city of Córdoba, Argentina, and the parties hereby waive any right to litigate in any other forum.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies as declared by the Argentine national or provincial authorities in Córdoba.
8. Warranty of Services: The Seller warrants that all Financial Analyst services shall be performed with the degree of skill, care, and diligence expected of a reasonably competent financial professional operating in the Argentina Córdoba market. Deliverables shall be free from material errors and shall conform to the specifications outlined in this Purchase Order.

The Financial Analyst services shall commence on July 1, 2025, and the full engagement period shall extend through June 30, 2026. The initial onboarding and system access provisioning for the Financial Analyst at the Argentina Córdoba office shall be completed no later than June 25, 2025. Quarterly deliverables (Item 02) shall be submitted within fifteen (15) business days following the close of each fiscal quarter. The CapEx Feasibility Study (Item 03) shall be delivered no later than September 30, 2025.
