- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order related to the Financial Analyst engagement in Belgium Brussels shall be subject to the exclusive jurisdiction of the Commercial Court of Belgium Brussels.
- Payment Terms: Payment for this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice. The initial recruitment and onboarding fees (Items 01–03 and 06) shall be invoiced upon completion. The monthly Financial Analyst service fee (Item 04) shall be invoiced on the first business day of each month in arrears. All payments shall be made via bank transfer to the supplier's account registered in Belgium Brussels.
- Performance Standards: The Financial Analyst engaged under this Purchase Order shall deliver all financial reports, variance analyses, and forecasting models to the standards expected by the Belgium Brussels office. Deliverables are due by the 5th business day of each month for the preceding period. Failure to meet these standards for two consecutive months shall constitute a material breach of this Purchase Order.
- Confidentiality: The Financial Analyst shall be bound by a strict non-disclosure agreement covering all financial data, client information, and proprietary models accessed during the engagement in Belgium Brussels. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Compliance: The supplier shall ensure that the Financial Analyst complies with all applicable Belgian employment legislation, social security obligations, and tax regulations as enforced in Belgium Brussels. The supplier bears full responsibility for any penalties or liabilities arising from non-compliance.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Financial Analyst's engagement in Belgium Brussels shall wind down in an orderly manner, and all outstanding deliverables shall be completed within the notice period.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates affecting Belgium Brussels, or pandemics, provided written notice is given within five (5) business days.
The Financial Analyst shall commence duties no later than 1 September 2025 at the Meridian Corporate Advisory Group BV office located at Rue de la Loi 142, 1040 Belgium Brussels. The supplier is required to confirm the identity and qualifications of the Financial Analyst in writing no later than 15 August 2025. All onboarding activities specified in this Purchase Order must be completed prior to the commencement date.
By signing below, both parties acknowledge and accept all terms set forth in this Purchase Order for the engagement of the Financial Analyst in Belgium Brussels. This document, once executed, serves as the definitive procurement record for the Finance & Analytics department.
