This Purchase Order is issued by Meridian Capital Advisory Group Ltda. to formally authorize and request the engagement of a qualified Financial Analyst professional to be deployed and operational within the Brazil Rio de Janeiro metropolitan area. The purpose of this procurement is to secure specialized financial analysis services that will support our quarterly portfolio evaluation, risk modeling, and regulatory compliance reporting for the fiscal year 2025. The Financial Analyst shall be physically based in our office located in the Centro district of Brazil Rio de Janeiro and will report directly to the Chief Financial Officer of Meridian Capital Advisory Group.

1. This Purchase Order constitutes a binding agreement between the parties upon signature and shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction in the courts of Brazil Rio de Janeiro, State of Rio de Janeiro.
2. The Financial Analyst shall commence duties no later than July 1, 2025, and shall maintain a minimum presence of four (4) days per week at the Brazil Rio de Janeiro office premises, with one (1) day permitted for remote work.
3. All deliverables produced by the Financial Analyst, including but not limited to financial models, risk assessments, and compliance reports, shall remain the exclusive intellectual property of Meridian Capital Advisory Group Ltda.
4. Payment shall be made via bank transfer (TED/PIX) to the account designated by Apex Financial Talent Solutions S.A. within fifteen (15) business days of invoice submission, in accordance with the schedule outlined in this Purchase Order.
5. The vendor shall ensure that the Financial Analyst holds a valid CFP (Certified Financial Planner) or CFA (Chartered Financial Analyst) designation and meets all regulatory requirements set forth by the CVM for operations in Brazil Rio de Janeiro.
6. Any modification to the scope, duration, or compensation outlined in this Purchase Order must be documented in a written addendum signed by both parties and filed with the Brazil Rio de Janeiro labor registry (eSocial).
7. Termination may be effected by either party with thirty (30) days written notice. In the event of early termination, the Financial Analyst shall be compensated pro-rata for services rendered up to the termination date.
8. All personal data processed in connection with this Purchase Order shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018).

All services under this Purchase Order shall be rendered at the following address in Brazil Rio de Janeiro: Meridian Capital Advisory Group Ltda., Av. Rio Branco, 1200 – 14th Floor, Centro, Rio de Janeiro, RJ – 20040-001, Brazil. The Financial Analyst is expected to integrate with the existing team of twelve (12) professionals currently operating from this Brazil Rio de Janeiro location and to participate in all scheduled internal meetings, client presentations, and regulatory audit sessions held at this site.
