The Supplier shall ensure that the Financial Analyst is fully operational and productive within the firm's São Paulo headquarters no later than the Required Delivery Date specified above. All deliverables associated with this Purchase Order must be completed in compliance with the regulatory framework governing financial services in Brazil São Paulo. The Financial Analyst will report directly to the Chief Investment Officer and will be expected to produce monthly analytical reports, ad-hoc valuation models, and support the due diligence process for new investment opportunities. The Supplier is responsible for verifying that the candidate holds all necessary professional certifications and that the employment arrangement complies with the Consolidated Labor Laws of Brazil (CLT) as well as any applicable collective bargaining agreements for the financial sector in the São Paulo metropolitan area.

This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms are governed by the Civil Code of the Federative Republic of Brazil and applicable commercial law in the state of São Paulo.
The Supplier warrants that the Financial Analyst candidate will meet or exceed the qualifications outlined in the attached job specification. In the event the candidate does not satisfy the minimum requirements, the Supplier shall provide a replacement candidate at no additional cost within fifteen (15) business days.
Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice (Nota Fiscal) issued by the Supplier. Late payments shall accrue interest at the rate of 1% per month, as stipulated by Brazilian commercial law.
The Supplier shall maintain full confidentiality regarding the Buyer's financial data, investment strategies, and proprietary models. The Financial Analyst, upon onboarding, shall be bound by a non-disclosure agreement (NDA) compliant with Brazil's General Data Protection Law (LGPD — Lei Geral de Proteção de Dados).
Any disputes arising from this Purchase Order shall be resolved through arbitration seated in São Paulo, Brazil, in accordance with the rules of the CAMARB (Câmara de Arbitragem do Mercado de Capitais).
This Purchase Order is valid for a period of ninety (90) days from the date of issue. If the Supplier does not confirm acceptance within this period, the order shall be considered void.
All services rendered under this Purchase Order shall be performed in Brazil São Paulo, and the Financial Analyst shall maintain a primary work location at the Buyer's office on Av. Paulista, São Paulo, SP.
