The scope of this Purchase Order encompasses the full lifecycle of the Financial Analyst engagement, including but not limited to: initial candidate sourcing and screening, background verification in compliance with the People's Republic of China's personal information protection regulations, onboarding and integration into the Buyer's organizational structure in China Guangzhou, provision of a dedicated workstation and software licenses, and a twelve-month performance evaluation cycle.

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order, including disputes relating to the performance of the Financial Analyst in China Guangzhou, shall be submitted to the Guangzhou International Arbitration Commission (CIETAC Guangzhou) for arbitration in accordance with its then-current rules. The seat of arbitration shall be Guangzhou, Guangdong Province, China.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated corporate account in China Guangzhou. The initial recruitment fee (Item 01) is due upon successful placement and commencement of the Financial Analyst's duties. Monthly retainers (Item 02) are payable in arrears on the last business day of each calendar month.
- Commencement and Delivery: The Supplier shall ensure that the Financial Analyst is fully onboarded, equipped, and operational at the Buyer's premises in China Guangzhou no later than 1 August 2025. The Supplier warrants that the Financial Analyst shall hold a minimum of a Master's degree in Finance, Accounting, or a related quantitative discipline, possess at least five (5) years of relevant experience in equity or fixed-income analysis, and be proficient in Mandarin Chinese and English.
- Compliance and Regulatory Obligations: The Supplier shall ensure that the Financial Analyst complies with all applicable regulations issued by the China Securities Regulatory Commission (CSRC), the Shenzhen Stock Exchange, and the Guangzhou Municipal Financial Regulatory Bureau. The Financial Analyst shall not engage in any insider trading, market manipulation, or unauthorized disclosure of material non-public information while performing duties under this Purchase Order in China Guangzhou.
- Confidentiality and Data Protection: Both parties acknowledge that the Financial Analyst will have access to sensitive financial data, proprietary investment models, and client information. All such information shall be treated as strictly confidential. The Supplier shall ensure that the Financial Analyst's handling of personal data complies with the Personal Information Protection Law of the People's Republic of China (PIPL) and the Data Security Law of the PRC.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, including but not limited to the failure to provide a qualified Financial Analyst or the Financial Analyst's gross misconduct, the Buyer may terminate immediately and shall be entitled to a full refund of any prepaid amounts for unperformed services.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulatory changes affecting financial services in China Guangzhou, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
- Intellectual Property: All financial models, analytical reports, and strategic documents produced by the Financial Analyst during the term of this Purchase Order shall be the exclusive property of the Buyer. The Supplier and the Financial Analyst shall not retain copies or use such materials for any other client or purpose.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Financial Analyst in China Guangzhou. This document constitutes a binding commercial agreement between the Buyer and the Supplier effective from the date of the last signature below.
