This Purchase Order authorizes the procurement of a qualified Financial Analyst to be stationed at the buyer's principal office in China Shanghai. The Financial Analyst shall be responsible for, but not limited to, the following duties:

• Preparation of monthly, quarterly, and annual financial statements and management reports for the China Shanghai regional entity.
• Development and maintenance of financial models for capital expenditure planning, revenue forecasting, and cost optimization specific to the China Shanghai market.
• Conducting variance analysis between actual performance and budgeted figures, with written recommendations submitted to the Chief Financial Officer no later than the fifth business day of each month.
• Supporting the internal audit team in China Shanghai with data extraction, reconciliation, and compliance documentation in line with the Accounting Standards for Business Enterprises (ASBE) and IFRS where applicable.
• Collaborating with the treasury function to monitor cash flow, manage intercompany transactions, and ensure adherence to the State Administration of Taxation (SAT) reporting requirements.
• Participating in annual budget cycles and providing analytical support for strategic investment decisions affecting the China Shanghai operations.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable labor and commercial regulations in force in China Shanghai.
2. Commencement: The Financial Analyst shall report for duty at the buyer's China Shanghai office no later than 01 July 2025. Any delay exceeding five (5) business days shall entitle the buyer to a service credit of 1.5% of the monthly fee per day of delay.
3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment of 100% of the invoiced amount shall be made within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao) issued in the name of Shanghai Meridian Capital Advisory Group Co., Ltd.
4. Confidentiality: The Financial Analyst shall be bound by a Non-Disclosure Agreement (NDA) compliant with the PRC Data Security Law and the Personal Information Protection Law (PIPL). All financial data processed in China Shanghai shall remain within the buyer's secure network infrastructure.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall facilitate the orderly transition of the Financial Analyst's responsibilities and deliver all work product to the buyer.
6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be resolved through good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the Shanghai Arbitration Commission (SHAC) for binding arbitration in China Shanghai.
7. Compliance: The supplier warrants that the Financial Analyst shall hold all necessary professional qualifications, valid work authorization, and shall comply with all applicable regulations of the China Shanghai Human Resources and Social Security Bureau.
