This Purchase Order is issued by Nile Delta Corporate Holdings S.A.E. to formally procure the professional services of a qualified Financial Analyst to be deployed and operated within the Egypt Cairo metropolitan area. The engagement is structured to support the Buyer's quarterly financial reporting, budget forecasting, variance analysis, and strategic investment evaluation activities. The Financial Analyst shall report directly to the Director of Finance and shall conduct all duties from the Buyer's principal office located in Egypt Cairo, with the option of hybrid remote work not exceeding two (2) days per week.

The Financial Analyst engaged under this Purchase Order shall perform the following duties and deliverables throughout the contract period in Egypt Cairo:

All payments shall be made in Egyptian Pounds (EGP) via bank transfer to the Supplier's designated account. Invoices are payable within thirty (30) calendar days of receipt. This Purchase Order is subject to the standard 14% Value Added Tax (VAT) as mandated by the Egyptian Tax Authority. No payment shall be released until the Financial Analyst has been formally onboarded and has commenced duties in Egypt Cairo.

The engagement period under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with the terms herein. The Financial Analyst must be physically present and operational in Egypt Cairo no later than the commencement date. A renewal option for an additional six (6) months may be exercised by mutual written agreement no fewer than sixty (60) days prior to expiration.

5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services shall be rendered in accordance with Egyptian labor law, the Egyptian Companies Law No. 159 of 1981 (as amended), and applicable financial regulations in Egypt Cairo.

5.2 The Supplier warrants that the Financial Analyst assigned to this Purchase Order shall hold a minimum of a Bachelor's degree in Finance, Accounting, or a related quantitative discipline, possess at least five (5) years of progressive experience in financial analysis, and hold a valid CFA or CPA designation. The analyst must be legally authorized to work in Egypt Cairo.

5.3 The Supplier shall maintain full professional indemnity and liability insurance coverage throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.

5.4 All financial data, proprietary models, and confidential information accessed by the Financial Analyst in the course of this engagement in Egypt Cairo shall be treated as strictly confidential. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement date.

5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. In the event of termination, the Buyer shall be liable only for services rendered up to the effective date of termination.

5.6 Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in accordance with the rules of the Egyptian Arbitration Center, with the seat of arbitration in Egypt Cairo.

5.7 This Purchase Order is governed by and shall be construed in accordance with the laws of the Arab Republic of Egypt.
