- Scope of Work: The Supplier shall provide a qualified Financial Analyst with a minimum of five (5) years of professional experience in corporate finance, financial modeling, and regulatory reporting. The Financial Analyst shall perform all duties at the Buyer's office in France Lyon, 42 Quai de Serbie, 69009 France Lyon, during standard business hours (09:00–18:00 CET, Monday through Friday).
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices shall be submitted monthly in arrears. All payments shall be made via bank transfer to the account designated by FinExpert Consulting Group SARL. Late payments shall accrue interest at a rate of 1.5% per month in accordance with French commercial law.
- Performance Standards: The Financial Analyst shall adhere to the highest professional standards of accuracy, confidentiality, and timeliness. All financial reports, analyses, and deliverables produced by the Financial Analyst in France Lyon shall be reviewed and approved by the Buyer's Chief Financial Officer before final submission to stakeholders.
- Confidentiality and Data Protection: The Supplier and the assigned Financial Analyst agree to maintain strict confidentiality regarding all financial data, proprietary information, and trade secrets of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. All data handling shall comply with the French Data Protection Act and the EU General Data Protection Regulation (GDPR).
- Substitution: The Supplier shall not substitute the assigned Financial Analyst without prior written consent from the Buyer. Any proposed replacement must demonstrate equivalent qualifications and experience in financial analysis relevant to the France Lyon market.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress and completed deliverables related to the Financial Analyst engagement in France Lyon.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of France Lyon, Rhône department.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the France Lyon region.
- Intellectual Property: All reports, models, analyses, and deliverables created by the Financial Analyst specifically for the Buyer under this Purchase Order shall be the exclusive property of the Buyer upon full payment.
- Entire Agreement: This Purchase Order, together with any attached schedules and specifications, constitutes the entire agreement between the parties regarding the engagement of the Financial Analyst in France Lyon and supersedes all prior negotiations, representations, and agreements.
