Description of ProcurementThis Purchase Order is issued by Meridian Capital Partners SAS for the engagement of a qualified Financial Analyst to be deployed at the firm's headquarters located in France Paris. The Financial Analyst shall provide comprehensive financial modeling, portfolio performance analysis, risk assessment, and strategic investment recommendations in support of Meridian Capital Partners' asset management operations. - Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order, including the engagement of the Financial Analyst, shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Payment Terms: Invoices shall be submitted on a monthly basis by the 5th business day following the end of each calendar month. Payment shall be made within thirty (30) days of receipt of a valid invoice via SEPA bank transfer to the account designated by Apex Advisory & Analytics Group. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Performance & Deliverables: The Financial Analyst shall deliver all analytical reports, models, and presentations in French and English. All work products shall be completed in accordance with the project timelines established in the Statement of Work annexed to this Purchase Order. Failure to meet agreed deliverable deadlines without prior written justification may result in a penalty of 1.5% of the monthly fee per day of delay, capped at 15% of the monthly fee.
- Confidentiality & Data Protection: The Financial Analyst shall adhere to strict confidentiality obligations regarding all proprietary financial data, client portfolios, and strategic information of Meridian Capital Partners. All personal data processed in France Paris shall comply with the General Data Protection Regulation (GDPR) and the French Loi Informatique et Libertés (CNIL regulations).
- Intellectual Property: All models, analyses, reports, and intellectual property created by the Financial Analyst in the course of this engagement shall be the exclusive property of Meridian Capital Partners SAS upon full payment. The Financial Analyst and Apex Advisory & Analytics Group shall execute any necessary assignment documents.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fifteen (15) days' notice. Upon termination, the Financial Analyst shall complete all in-progress deliverables and return all company property and data.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in France Paris.
- Compliance: The Financial Analyst shall comply with all applicable French labor regulations, anti-money laundering (AML) directives, and financial market regulations as enforced by the AMF and the Banque de France.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Financial Analyst in France Paris. This document constitutes a binding commercial agreement effective from the date of the last signature.
