1. Description of Procured ServicesThis Purchase Order is issued by Kish Financial Group Co., Ltd., headquartered in Iran Tehran, to formally procure the professional services of a qualified Financial Analyst through the vendor Pars Analytics Consulting FZE. The Financial Analyst shall be engaged on a full-time basis to support the buyer's corporate finance, investment evaluation, and budgeting operations within the Iran Tehran metropolitan area. The scope of services under this Purchase Order encompasses the following deliverables and responsibilities:
- Preparation and maintenance of monthly, quarterly, and annual financial reports in compliance with Iranian accounting standards (IFRS as adopted by the Iranian Accounting Standards Board) and the regulations of the Securities and Exchange Organization of Iran (SEOI).
- Development and monitoring of financial models for capital budgeting, project feasibility studies, and investment portfolio analysis relevant to the buyer's operations in Iran Tehran and surrounding provinces.
- Conducting variance analysis, forecasting, and scenario modeling to support strategic decision-making by the executive management team based in Tehran.
- Assisting the internal audit and compliance departments with regulatory reporting obligations under the Iranian Commercial Code and the Central Bank of Iran (CBI) directives.
- Providing ad-hoc financial analysis, due diligence support, and advisory input for mergers, acquisitions, and joint ventures conducted within the Iran Tehran business environment.
- Maintaining and updating the general ledger, accounts payable, and accounts receivable systems in coordination with the buyer's finance department located in Tehran.
The Financial Analyst assigned under this Purchase Order must meet the following minimum qualifications as stipulated by the buyer's human resources and compliance policies in Iran Tehran:
- A minimum of a Bachelor's degree in Finance, Accounting, Economics, or a related field from an accredited university in Iran or internationally recognized institution.
- A minimum of five (5) years of progressive experience in financial analysis, corporate finance, or investment banking, with at least two (2) years of experience operating within the Iranian financial regulatory framework.
- Professional certification such as CFA, CPA (Iranian), or ACCA is strongly preferred.
- Proficiency in advanced financial modeling tools including Microsoft Excel, SAP, Oracle Financials, and Bloomberg Terminal.
- Fluency in Persian (Farsi) and professional working proficiency in English. Knowledge of Arabic is considered an advantage for cross-border reporting within the region.
- Full compliance with the background check and security clearance requirements mandated by the Iranian Ministry of Intelligence and the buyer's internal security protocols for personnel operating in Tehran.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Islamic Republic of Iran and the Commercial Code of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran under the rules of the Iran Chamber of Commerce, Industries, Mines and Agriculture.
- Confidentiality: The Financial Analyst shall be bound by a strict non-disclosure agreement (NDA) in accordance with Iranian data protection and commercial secrecy laws. All financial data, client information, and proprietary models accessed during the engagement in Iran Tehran shall remain the exclusive property of the buyer.
- Payment Terms: Payment for the services rendered by the Financial Analyst shall be made monthly in advance via bank transfer to the vendor's designated account. Late payments shall incur a penalty of 0.5% per day as per Iranian commercial law. Invoices must be submitted in Persian with English translation attached.
- Tax and Regulatory Compliance: All applicable taxes, including Value Added Tax (VAT) at the rate prescribed by the Iranian National Tax Administration, and any withholding taxes shall be applied as per the tax code of the Islamic Republic of Iran. The vendor is responsible for obtaining all necessary permits and licenses to operate in Iran Tehran.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Financial Analyst or the vendor, the buyer reserves the right to terminate immediately without penalty.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Iran Tehran region.
- Intellectual Property: All work product, reports, models, and analyses created by the Financial Analyst in the course of this engagement shall be the sole and exclusive property of Kish Financial Group Co., Ltd.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Financial Analyst in Iran Tehran. This document constitutes a binding agreement between the parties upon execution.
