Payment shall be structured as follows: 40% upon execution of this Purchase Order, 35% upon successful placement and first-day commencement of the Financial Analyst at the Israel Jerusalem office, and the remaining 25% upon completion of the 90-day integration period with satisfactory performance evaluation. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law, 5713-1953.

1. This Purchase Order is governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
2. The Financial Analyst placed under this Purchase Order must hold a valid work permit or Israeli citizenship/residency and must comply with all reporting requirements of the Israel Securities Authority and the Bank of Israel.
3. Meridian Talent Solutions warrants that the Financial Analyst candidate shall meet all qualifications specified in this Purchase Order. In the event of non-compliance, the supplier shall provide a replacement candidate within thirty (30) calendar days at no additional cost.
4. All services rendered under this Purchase Order shall be performed at the Israel Jerusalem premises of Levant Capital Advisory Group Ltd., located at 42 King George Street, unless otherwise agreed in writing.
5. Confidentiality: Both parties agree that all financial data, client information, and proprietary analytical models accessed by the Financial Analyst during the term of this Purchase Order shall remain strictly confidential and subject to the Israeli Privacy Protection Law, 5741-1981.
6. This Purchase Order may not be assigned or subcontracted without prior written consent from the purchasing party. Any amendments to this Purchase Order must be executed in writing and signed by authorized representatives of both parties in Israel Jerusalem.
7. The supplier shall maintain professional indemnity insurance with a minimum coverage of ILS 2,000,000 for the duration of this Purchase Order.
8. Force majeure events, including but not limited to national security alerts, government-mandated closures in Israel Jerusalem, or acts of war, shall suspend obligations under this Purchase Order for the duration of the event plus a reasonable recovery period.
